Non-disclosure agreement (Latvia)

A non-disclosure agreement for sharing information with someone who promises to keep it to themselves: a business idea, a client list, figures or plans. It can bind one side or both.

Who signs

  • The party sharing the information
  • The party receiving it; in a mutual agreement each side does both

What you fill in

  • Both parties — names of the people or companies, personal codes or registration numbers, and who signs for a company
  • What is confidential — the information, as precisely as you can
  • Why it is shared — the purpose the receiver may use it for
  • How long the promise lasts — a number of years, or until the information becomes public
  • Exceptions — information that is public or that the receiver already knew
  • At the end — whether the material is returned or destroyed

What the document covers

The parties

Who shares the information and who receives it, or both, if it is mutual.

What is confidential

Which information the promise covers.

Why it is shared

The one purpose the information may be used for.

What the receiver may and may not do

Who else may see it and how it is kept safe.

Exceptions

Information the promise does not cover, such as what is already public.

How long it lasts

When the promise begins and when it ends.

Returning or destroying the material

What happens to documents and copies when the work is done.

If the promise is broken

What the side that broke it owes the other.

Signatures

Both sides sign the same file, each with their own Smart-ID.

Before you sign

  • Name the information as precisely as you can.

Sign it with Smart-ID

In the next step you add your own document; the filled-in template comes with the lawyer’s text.
